Terms of Service

1. Acceptance of Terms

By creating an account on VirtuAc or using any part of the VirtuAc service, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms. If you do not agree to these Terms, you may not use the service.

2. Description of Service

VirtuAc is an invoice automation platform that enables accountants and businesses to receive invoices from multiple digital channels, extract structured data using AI-powered OCR, review and correct extracted data, and export processed invoices to Israeli accounting and ERP systems. The service is operated by VirtuAc Ltd., a company incorporated under Israeli law.

We reserve the right to modify, suspend, or discontinue any part of the service at any time. We will provide reasonable advance notice for material changes that affect your use of the service.

3. Account Registration and Security

You must register for an account to use VirtuAc. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@virtuac.com if you become aware of any unauthorized use of your account.

You may not share your account credentials with third parties, create accounts using automated methods, or create multiple accounts to circumvent plan limits. We reserve the right to suspend accounts that violate these requirements.

4. Subscription and Billing

Plans and Pricing

VirtuAc offers Starter, Pro, and Enterprise subscription plans. Pricing and included features for each plan are described on the pricing page at virtuac.com/pricing. We reserve the right to change prices with at least 30 days written notice.

Free Trial

The Pro plan includes a 14-day free trial. No credit card is required to start a trial. At the end of the trial period, you must provide a valid payment method to continue using Pro features or your account will revert to the Starter plan limits.

Billing Cycle

Paid subscriptions are billed monthly or annually, depending on the billing cycle you select. Annual subscriptions are charged in full at the start of the billing period and are not refundable as a lump sum except as described in the cancellation section below.

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date. We do not provide prorated refunds for partial billing periods on monthly plans.

For annual plans cancelled within 14 days of initial purchase or renewal, we will issue a full refund upon request. For annual plans cancelled after 14 days, we will issue a prorated refund for the remaining full months of the subscription.

Failed Payments

If a payment fails, we will attempt to charge the payment method on file over a period of seven days. If payment is not collected within that period, the account will be downgraded to the Starter plan. Your data will be retained and accessible. Reactivating a paid plan will restore full access.

5. Acceptable Use Policy

You agree to use VirtuAc only for lawful purposes and in accordance with these Terms. You must not:

  • Submit documents containing falsified, fraudulent, or forged financial information
  • Use VirtuAc to process invoices on behalf of organizations you are not authorized to represent
  • Attempt to reverse-engineer, decompile, or extract source code from the platform
  • Use automated scripts or bots to interact with the service outside of the documented API
  • Interfere with or disrupt the infrastructure or security of the service
  • Upload malicious files, malware, or content designed to exploit OCR processing
  • Resell or sublicense access to the service without written authorization
  • Use the service in any manner that violates applicable Israeli, EU, or international law

Violations of this policy may result in immediate account suspension without refund.

6. Intellectual Property

VirtuAc and all associated software, designs, trademarks, and content are the intellectual property of VirtuAc Ltd. or its licensors. These Terms do not grant you any ownership rights in the service.

You retain full ownership of all invoice documents and business data you submit to VirtuAc. By submitting documents, you grant VirtuAc a limited, non-exclusive license to process that data for the sole purpose of delivering the service to you. This license terminates when you delete the data or close your account.

We may use aggregated and anonymized data derived from service usage to improve platform functionality. This does not include your identifiable business documents or proprietary financial data.

7. Limitation of Liability

To the maximum extent permitted by applicable law, VirtuAc Ltd. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the service, including but not limited to loss of data, loss of revenue, or loss of business opportunity.

Our total cumulative liability to you for any claims arising under these Terms shall not exceed the amount you paid to VirtuAc in the 12 months preceding the claim.

VirtuAc provides OCR extraction as a best-effort AI service. Extracted data may contain errors. You are responsible for reviewing extracted data before exporting it to accounting systems. VirtuAc is not liable for accounting errors, tax filings, or financial decisions made on the basis of extracted data that has not been reviewed and approved by a qualified professional.

8. Warranty Disclaimer

The service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any defects will be corrected.

9. Indemnification

You agree to indemnify and hold harmless VirtuAc Ltd. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of the service in violation of these Terms or applicable law.

10. Governing Law and Disputes

These Terms are governed by the laws of the State of Israel, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of VirtuAc shall be subject to the exclusive jurisdiction of the competent courts located in Tel Aviv, Israel.

Before initiating formal proceedings, you agree to first attempt to resolve any dispute by contacting us at legal@virtuac.com. We will make a good-faith effort to reach a resolution within 30 days.

11. Changes to Terms

We may modify these Terms at any time. For material changes, we will provide at least 14 days advance notice by email and via an in-app notice. Continued use of the service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you may cancel your subscription before the effective date.

12. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or non-payment, with or without prior notice depending on the severity of the violation. Upon termination, your right to access the service ceases immediately. Your data will be retained for 90 days following termination to allow for export requests, after which it will be deleted.

13. Entire Agreement

These Terms, together with the Privacy Policy and any additional agreements you enter into with VirtuAc, constitute the entire agreement between you and VirtuAc Ltd. regarding the service and supersede all prior agreements, understandings, or representations.
